1. Identity
Digital Model Management (hereinafter: DMM) and Zappa Prompt Engine (hereinafter: Zappa) are initiatives of Studio PB.NL BV, operating under Fashionmission BV, registered with the Chamber of Commerce under number 71303146.

2. Applicability
These terms apply to all offers, assignments, and agreements related to DMM and Zappa. By placing an order or subscribing, the customer agrees to these terms.

3. Services and Products
**DMM** provides digital, AI-generated visual materials including campaign images, lookbook images, social assets, digital models, and variants. Delivery is exclusively digital.
**Zappa** is a SaaS platform for AI-driven fashion prompt generation and image editing (post-production). Zappa offers AI background removal, hue and texture corrections, automatic cropping, and prompt generation based on uploaded images.

4. Formation of Agreement
**DMM:** the agreement is formed after successful payment via Mollie.
**Zappa:** the agreement is formed upon subscribing via Mollie (SEPA Direct Debit). The subscription can be cancelled monthly.

5. Prices and Payment
**DMM:** payment is made in full in advance. All prices are exclusive of VAT unless stated otherwise.
**Zappa:** the subscription costs €29.95 per month including VAT. The first payment is made via the Mollie checkout; subsequent payments are processed via SEPA Direct Debit. Invoicing is done automatically via email.

6. Subscription and Cancellation (Zappa)
The Zappa subscription can be cancelled monthly via the user dashboard. After cancellation, the subscription remains active until the end of the current billing period. No refunds are provided for remaining days within a paid period.

7. Production and Delivery
**DMM:** production starts after payment. Delivery is digital via download link or secure environment.
**Zappa:** the service is immediately available after creating an account and subscribing. Processed images are displayed in the browser and not stored on our servers.

8. Right of Withdrawal
**DMM:** as these are digital custom products, the right of withdrawal lapses once production has started.
**Zappa:** by subscribing, the customer agrees that the digital service is made available immediately. The right of withdrawal lapses once the customer uses the service. The customer can cancel the subscription at any time at the end of the current month.

9. Intellectual Property
**DMM:** all copyrights on delivered images remain with DMM. The customer receives a non-exclusive usage licence for the agreed purpose.
**Zappa:** images uploaded by the customer and resulting edits remain the property of the customer. The intellectual property rights on the Zappa platform, underlying technology, and AI models are held by Studio PB.NL BV.

10. AI-Generated Content
Both DMM and Zappa use artificial intelligence for generating and editing images. Full compliance with reference images or expectations cannot be guaranteed. Results may vary.

11. Submitted Material and Rights
The customer is fully responsible for submitted material and guarantees that all necessary rights are cleared. The customer indemnifies Studio PB.NL BV, Fashionmission BV, DMM, and Zappa against any third-party claims arising from the use of submitted material.

12. Availability (Zappa)
Studio PB.NL BV endeavours to keep Zappa as available as possible but does not guarantee uninterrupted access. Maintenance, updates, or disruptions at external service providers (including Vercel, Cloudflare, OpenAI, and Replicate) may lead to temporary unavailability. This does not entitle to refunds or compensation.

13. Liability
The liability of Studio PB.NL BV and Fashionmission BV is in all cases limited to the invoice amount of the relevant assignment or the monthly amount of the current Zappa subscription. Studio PB.NL BV is not liable for indirect damage, consequential damage, or damage from the use of AI-generated results.

14. Portfolio Use
DMM may use delivered works for promotional purposes unless otherwise agreed in writing. Images uploaded by the customer via Zappa are not used for this purpose.

15. Force Majeure
Studio PB.NL BV is not obliged to fulfil any obligation if it is prevented from doing so by force majeure. Force majeure includes, but is not limited to, disruptions at external service providers (including cloud and AI providers), internet outages, power failures, government measures, and other circumstances reasonably beyond the control of Studio PB.NL BV.

16. Complaints
Complaints about the execution of the agreement or service can be submitted via pb@pb.nl. We aim to address complaints within 14 days. If this does not lead to a solution, the dispute can be submitted to the competent court.

17. Changes
Studio PB.NL BV reserves the right to change these terms. Changes will be announced via email or the relevant website. For subscriptions, the amended version applies from the next billing period.

18. Applicable Law
All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district of the registered office of Studio PB.NL BV.
